General Conditions of Sale – Receptions & You

The Réceptions & Vous agency, whose head office is located at 26 rue des Molveaux 77700 Coupvray, is represented by Mrs. Sandrine ASTRUC, self-employed, whose SIRET number is 840 688 410 00017. Its activity is advice and support in the organization of private events, event planning, officiating secular ceremonies and event decoration.
As part of its consulting and support activities in the organization of private events and event planning, the Réceptions & Vous agency (hereinafter "the Organizer"), offers to any natural person consulting it (hereinafter the Client”), the services of suitable service providers and subcontractors. It ensures the smooth running of events, the professionalism of partners, ensures negotiations but cannot under any circumstances be held responsible for exceptional events which may occur and which are beyond its control and its commitments with them.
The Client having declared himself interested in one of its offers, delegates to the agency Réceptions & Vous the responsibility for the organization of the event by signing on the one hand, the general conditions of sale and on the other hand, the service contract (hereinafter "the Organization Contract") which are equivalent to a MANDATE. The customer benefits from a withdrawal period of fourteen (14) days from the date of signing the contract and the general conditions of sale (article L121-21 et seq. of the consumer code).
ARTICLE 1: Fields of application
These general terms and conditions of sale apply to all services provided by the Réceptions & Vous agency. They constitute the framework for the contractual and financial commitments offered to its Clients.
Any acceptance of the contract implies on the part of the Customer full and unreserved acceptance of these general conditions of sale to the exclusion of any other document.
In the event of a contradiction between the specific conditions appearing in the Organization Contract signed by the Client and those appearing in these general conditions, the provisions of the Organization Contract alone shall apply.
ARTICLE 2: Quote
Any intervention by the Réceptions & Vous agency is subject to a detailed and personalized estimate, delivered or sent (email or regular mail) to the Client. This estimate includes the designation and type of services determined based on the request expressed by the Client, as well as the related terms and costs. This estimate is offered free of charge by the Réceptions & Vous agency.
ARTICLE 3: Mandate
The Client delegates to the Organizer, who accepts, the responsibility for organizing the event corresponding, at this stage, to the criteria described in the Organization Contract. The mandate is given for the duration of studies and complete realization of the event. The mandate will end after the realization of the event according to the given mandate.
ARTICLE 4: Obligation of the Organizer
During the term of the mandate, the Organizer undertakes to research and implement all the components as defined in the Organization Contract. At the Client's request, the agency Réceptions & vous represented by Mrs. Sandrine ASTRUC, conducts an initial meeting free of any financial commitment from the Client. During this initial meeting, contact is established to list the reception parameters envisaged by the Client. The Organizer's obligations regarding compliance with the criteria may be redefined if more precise specifications are established and accepted by the parties.
The Organizer will keep the Client informed of the progress of their application and will provide them with descriptions of the selected services. The Organizer undertakes not to disclose the information provided by the client, which will be kept confidential. Any information collected as part of the preparation of the specifications may be communicated to the Organizer's partners, who will be bound by the same confidentiality rules.
ARTICLE 5: Obligations of the Client
The Client undertakes to communicate all essential information to the Organizer to provide a suitable service; it will ensure that access to the information that the Organizer may need is facilitated.
The client undertakes not to conceal information from the Organizer or its stakeholders, concealment which would be likely to delay, hinder, thwart or disorganize the project or its implementation.
The Client undertakes to respect and fulfill the specific conditions of the selected service providers and in particular to pay any necessary deposit or guarantee before full payment of the full amounts due.
The Client is also required to comply with the commitments contained in the Organization Contract.
The client may, in agreement with the Organizer, use the service provider of their choice.
ARTICLE 6: Financial conditions
The rates as shown in the Organization Contract are indicated in euros and are payable exclusively in this currency regardless of the Client's nationality. They correspond to the rates for the various services described and are only valid for these services on the date indicated.
These prices are net, VAT not applicable according to article 293 B of the General Tax Code.
The deposits to be paid are set out in the Organization Contract and vary depending on the services chosen and the progress of the project.
The Réceptions & Vous agency reserves the right to increase the fixed rate according to the workload induced by the modification of the specifications and in accordance with the provisions provided for this purpose in the Organization Contract.
Any failure to pay on the due date will be considered a unilateral breach of the Organization Contract and will discharge the agency from any contractual obligation.
In the event of cancellation of the Mission by the Client after its acceptance by the Organizer, the deposits already paid may be automatically acquired by the Organizer depending on the reason for termination and the period during which this termination occurs in accordance with the provisions set out in Articles 5 and 6 of the Organization Contract.
ARTICLE 7: Responsibilities
The fact that the Réceptions & Vous agency does not assert at any given time any of the stipulations of the Organization Contract cannot be interpreted as a waiver.
The Réceptions & Vous agency cannot be held responsible for any direct or indirect damage that Clients and/or third parties participating in the event may cause, particularly in the event of:
- damage of any kind whatsoever (theft, damage, etc.) affecting property of any kind (personal effects, equipment, etc.) brought and/or belonging to the Client and/or third parties
participants in the event or workshop, regardless of where said goods are stored (parking lot, lounges, rooms, etc.),
- occurrence of a force majeure event (irresistible, unforeseeable, external event) or fortuitous events such as strikes, fire, water damage, official ban (non-exhaustive list).
Furthermore, under no circumstances can the Réceptions & Vous agency be held liable for any damage, direct or indirect, linked to the execution of the service(s) provided by the service provider concerned, which is solely liable to the Client and in particular in the event of:
- damage caused by the Client and/or third parties to the event, to the materials, equipment and premises of the service provider concerned. Any repairs and reimbursements that appear necessary following the aforementioned damage will be the sole responsibility of the Client,
- bodily injury or material damage suffered by the Client and/or third parties participating in the event, during the intervention of the service provider concerned,
- any damage, direct or indirect, that the Client and/or third parties participating in the event may cause to the service provider concerned or its agents,
- unavailability of the service provider on the date of performance of the service(s) and in particular in the event of an accident, hospitalization or illness of said service provider.
Generally speaking, it is understood between the Client and the Réceptions et Vous agency that the service provider concerned is solely responsible for the proper execution of the service(s) that it must provide. Under no circumstances can the Réceptions & Vous agency be held liable in the event of an alleged or observed failure of the service provider(s) concerned.
The Client declares and guarantees that it has full legal capacity to enter into a commitment under the Organization Contract and that it holds valid civil liability insurance. To this end, the Client undertakes to waive and to have its insurers and/or third parties participating in the event waive any recourse against the Organizer in the event of the occurrence of any of the aforementioned events.
ARTICLE 8: Insurance and cancellations
The Réceptions & Vous agency advises the Client to contact their broker/agent and/or insurer to study with them the validity of their civil liability insurance and the subscription of additional insurance concerning the event.
The Réceptions & Vous agency has taken out professional civil liability insurance with MMA PRO-PME no. 000000145059893.
If, after a possible termination of the Organization Contract, the Client were to carry out or have carried out the event which would have been defined by the Organizer by a third-party Organizer, a sum equal to 100% of the plagiarized project would be due to the Organizer.
In the event of withdrawal, refusal or cancellation by the Client, the Organizer will be released from all obligations towards the Client and the latter will not be able to claim either the postponement of the event to another date, nor the reimbursement of the sums which will be acquired by the Réceptions &Vous agency in application of articles 5 and 6 of the Organization Contract.
ARTICLE 9: Intellectual property – Image rights
The Réceptions et Vous agency remains the owner of all intellectual property rights to the studies and other documents produced (even at the request of the Client) with a view to providing the service to the client, and in particular the personalized wedding booklet/binder given to the client or the explanatory sheet given during the workshop.
The Client therefore prohibits any reproduction or exploitation of said studies and documents without the express, written and prior authorization of the Organizer, who may make it conditional on financial compensation.
In addition, the Réceptions & Vous agency may use all or part of the event data in the commercial presentation of its agency. As such, all photographs and videos relating to the event, which have been transferred by the Clients temporarily or permanently, are considered event data.
By signing the Organization Contract and understanding the general terms and conditions of sale; the Client acknowledges assigning the rights relating to the associated event data (free of charge and without requesting financial compensation, for a period of 10 years, tacitly renewable) and authorizing their use by the Organizer on its website or on any advertising medium within the meaning of Article 9 of the Civil Code and case law.
The Client declares to be informed of the provisions of this article 9 of the civil code and of the possibility of refusing any use and transfer of rights to the event data by writing "read and approved, refusal of use and transfer of rights" on the present document appearing in the appendix to the Organization Contract.
ARTICLE 10: Confidentiality – Right of access and rectification
All information transmitted by the client to the Réceptions & Vous agency will be kept confidential in accordance with article 4 of these general terms and conditions of sale. The Réceptions & Vous agency reminds that the information collected within the framework of the Organization Contract is intended to better understand the Client and is necessary for the processing and delivery of the service(s) provided and the establishment of the related invoice.
The data communicated by the Client is kept by the Réceptions & Vous agency and/or its commercial service providers for the time necessary to manage and process the file and will be archived for a reasonable period.
ARTICLE 11: Applicable law - Language
These general conditions of sale and the transactions resulting from them between the Organizer and the Client are governed by and subject to French law.
These general terms and conditions of sale are written in French. In the event that they are translated into one or more foreign languages, only the French text will be authoritative in the event of a dispute.
ARTICLE 12: Disputes
Any dispute arising from the conclusion, execution, interpretation or termination of the contract between the Réceptions & Vous agency and the Client will be submitted to the competent courts within the jurisdiction of the Organizer's registered office.
